These Terms & Conditions govern your use of Signmitra's digital signage platform, services, and applications. By accessing or using our services, you agree to be bound by these terms.

1. Introduction

Welcome to Signmitra, a cloud-based digital signage platform operated by Graphonix Infotech Pvt. Ltd. ("Company", "we", "us", or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Signmitra website, dashboard, slide editor, player applications, APIs, and all related services (collectively, the "Services"). By creating an account, installing the Signmitra Player app, or using any part of the platform, you agree to be bound by these Terms in their entirety. If you do not agree, you must not use our Services.

2. Definitions

"Platform" means the Signmitra web application, dashboard, slide editor, scheduling system, and all related tools. "Player" or "Signmitra Player" means the Android TV / Fire TV application available on Google Play Store that displays content on screens. "User" or "you" means any individual, business, or entity that creates an account, accesses the dashboard, or uses the Services. "Slide" means a single digital signage design created in the Signmitra editor. "Playlist" means an ordered collection of Slides with duration and transition settings. "Screen" means a virtual representation of a physical display device managed through the platform. "Device" means the physical hardware (Android TV, Fire TV Stick, Android TV box, tablet, etc.) running the Signmitra Player. "Team Member" means an invited user granted limited access to a primary User's account. "Support PIN" means a temporary, time-limited, single-use authentication code generated by the User to grant Signmitra support staff controlled access to the User's account. "Content" means all images, videos, text, widgets, media files, and other materials uploaded or created by the User. "Subscription" means a paid or free plan that determines the User's access to features, screen limits, and storage quota.

3. Eligibility

To use Signmitra, you must be at least 18 years of age and legally capable of entering into binding agreements under the laws of your jurisdiction. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. Organizations must ensure that all Team Members added to their account also meet these eligibility requirements.

4. Account Registration & Security

To access the platform you must create an account by providing accurate, current, and complete information including your name, email address, and a secure password. You are solely responsible for: • Maintaining the confidentiality of your login credentials • All activity that occurs under your account, including actions by Team Members • Ensuring your email address and profile information remain accurate and up to date You must notify us immediately at the first sign of any unauthorized access to your account. We reserve the right to suspend accounts where we reasonably believe credentials have been compromised. Sharing account credentials with unauthorized individuals is strictly prohibited.

5. Services Overview

Signmitra provides a comprehensive cloud-based digital signage platform that includes: • Slide Editor & Designer — A visual drag-and-drop editor for creating slide content with text, images, videos, shapes, backgrounds, and interactive widgets (clock, weather, text ticker, slideshow carousel, RSS feed, QR code, and more) • Playlists — Organize slides into ordered playlists with individual duration settings and transition effects • Screens — Create and manage virtual screen entries representing physical display devices • Devices Manager — Pair Android TV and Fire TV devices via QR code or Screen Key, monitor device status (Online, Offline, Syncing), and remotely manage players • Scheduling — Schedule playlists by date, time, and day-of-week for automated content switching • Media Library — Upload, organize, tag, and manage images (JPG, PNG, WEBP) and videos (MP4) • Public Profile — Build a customizable public-facing profile with Home, About, Services, Reviews, Skills, Resume, Portfolio, Team, and Facts sections • Blog — Create and manage blog posts with categories and tags • Custom Domain — Map your own domain to your Signmitra profile • PWA — Configure your profile as an installable Progressive Web App • Appointment Booking — Allow visitors to book appointments through your profile • Team Management — Invite Team Members with role-based permissions • Support System — Access to support tickets, live chat, Help Center, and Support PIN remote assistance • Multi-Language — Interface available in multiple languages • Dark Mode — Toggle dark theme for the dashboard • Notifications — Real-time alerts for subscription, screen status, and system events

6. Signmitra Player Application

The Signmitra Player is an Android application available on the Google Play Store designed to run on Android TV, Amazon Fire TV, Android TV boxes (Mi Box, NVIDIA Shield, etc.), and compatible Android devices. By installing and using the Player: • You agree to the Google Play Store terms of service in addition to these Terms • The Player requires a stable internet connection (Wi-Fi or Ethernet) and Android 5.0 or higher • The Player connects to the Signmitra platform to download and display assigned playlist content • The Player sends periodic heartbeat data (online status, app version, device model) to the platform for monitoring • You are responsible for the physical device, its internet connectivity, power supply, and proper configuration • Auto-start, display orientation, and refresh interval settings are your responsibility to configure Signmitra is not liable for playback issues caused by incompatible hardware, insufficient internet bandwidth, power outages, or device-level software conflicts.

7. Subscription Plans & Billing

Signmitra offers free, trial, and paid subscription plans. Each plan defines the number of screens, storage quota, and features available to you. • Billing Cycles: Subscriptions are available on monthly or annual billing cycles. Annual plans offer a discount compared to monthly. • Payment: Payments must be made in advance through the supported payment gateways. Failure to pay may result in service suspension. • Upgrades: You may upgrade your plan at any time. The upgrade takes effect immediately upon payment. Pricing is prorated where applicable. • Downgrades: You may downgrade your plan. The downgrade takes effect at the end of the current billing period. You may need to reduce screens or storage usage to match the new plan limits before the downgrade activates. • Renewals: You are responsible for renewing your subscription before the expiry date. A grace period may apply after expiry, during which your data is preserved but screens go offline. • Additional Storage: You may purchase supplemental storage packs. These have their own expiry dates independent of your subscription. • Coupons & Promotions: Promotional discounts are applied at checkout and are subject to their own terms. Signmitra reserves the right to modify or discontinue promotions at any time. • Taxes: Prices may be exclusive of applicable taxes (GST, VAT, etc.), which will be added at checkout based on your billing address. • Refunds: Subscription fees are generally non-refundable. Exceptions may apply under Indian consumer protection law or at our sole discretion.

8. Free Trials & Promotional Plans

Signmitra may offer free trials or promotional subscription plans at its sole discretion. These offers are temporary and subject to the following conditions: • Free trials provide limited access to platform features for a specified period • At the end of the trial, continued use requires purchasing a paid subscription • Signmitra reserves the right to modify, limit, or discontinue free trials at any time without prior notice • Only one free trial is permitted per user or organization • Abuse of trial periods (including creating multiple accounts) may result in account suspension

9. Payment Processing

Payments on Signmitra are processed through trusted third-party payment gateways including Razorpay, Stripe, PayPal, Flutterwave, Paytm, and MercadoPago (as applicable based on your region and the platform configuration). • We do not store your credit card, debit card, or banking details on our servers • All payment data is handled directly by the respective payment gateway under their own terms and privacy policies • You agree to the terms of service of the payment gateway used for your transaction • In the event of a payment dispute, you should contact the payment gateway directly, though we will assist where possible • Recurring subscriptions may be charged automatically based on your billing cycle unless cancelled before renewal

10. User Content & Responsibilities

You are solely responsible for all Content uploaded, created, or displayed through your Signmitra account. This includes slides, media files, text, widgets, blog posts, profile information, and any other material. You agree that your Content will NOT: • Infringe on any copyright, trademark, or other intellectual property rights of third parties • Contain obscene, defamatory, threatening, discriminatory, or hateful material • Violate any applicable local, state, national, or international law or regulation • Contain malware, viruses, or malicious code • Misrepresent your identity or impersonate another person or entity • Display content that could endanger public safety We reserve the right to remove Content that violates these Terms without prior notice. Repeated violations may result in account termination.

11. Content Ownership & License

You retain full ownership of all Content you upload or create on Signmitra. By using the platform, you grant Signmitra a limited, non-exclusive, revocable license to store, process, cache, transmit, and display your Content solely for the purpose of delivering the Services to you and your paired Devices. This license does not grant Signmitra the right to sell, sublicense, or use your Content for marketing purposes without your explicit written consent. Upon account deletion or Content removal, we will delete your Content from active storage within a reasonable timeframe, subject to backup retention cycles.

12. Media & Storage

Your subscription plan includes a defined storage quota for media files. The following rules apply: • Supported upload formats: JPG, JPEG, PNG, WEBP for images; MP4 for videos • Maximum file sizes and resolution limits depend on your plan • Storage usage is calculated based on the total size of all uploaded files, slide designs, and cached assets • If you exceed your storage quota, further uploads will be blocked until you free up space or purchase additional storage • Deleting media files immediately frees the corresponding storage quota • If media used in a slide is deleted, the slide will show a placeholder where the media was We recommend regularly cleaning up unused media to maintain efficient storage usage.

13. Team Members & Collaborative Access

Account owners may invite Team Members to help manage slides, playlists, screens, and other platform features. • The account owner is responsible for all actions performed by their Team Members • Team Members are granted role-based permissions as configured by the account owner • Team Members cannot access billing information, make payments, or delete the primary account • The account owner may revoke Team Member access at any time • Team Member invitations are sent via email and require the invitee to create their own credentials Signmitra is not responsible for unauthorized actions performed by Team Members. Account owners should regularly review and manage Team Member permissions.

14. Support PIN & Remote Assistance

Signmitra provides a Support PIN feature that allows users to grant temporary, controlled access to their account for the purpose of receiving technical support. • The Support PIN is generated by the User from the Support Home page and is valid for 15 minutes • The PIN is single-use and automatically expires after the allotted time • During a support session, the support agent has limited permissions: they can view slides, playlists, screens, and device configurations but CANNOT access billing, payment information, or delete the account • All actions performed during a support session are logged for audit purposes • The User may end the support session at any time from the Support Home page • Users must NEVER share their Support PIN with anyone outside the official Signmitra support team Signmitra is not responsible for any consequences arising from sharing Support PINs with unauthorized individuals.

15. Scheduling & Automated Content

The scheduling feature allows Users to configure automatic playlist switching based on specific dates, times, and days of the week. • Scheduled playlists override the default assigned playlist during their active time window • When multiple schedules overlap, the most recently created schedule takes priority • Users are responsible for configuring schedules correctly; Signmitra is not liable for incorrect content displayed due to misconfigured schedules • Expired schedules are automatically ignored by the system • Schedule execution depends on the player device being online and connected

16. Public Profile, Blog & Custom Domain

Signmitra allows users to create a public-facing profile with customizable sections (Home, About, Services, Reviews, Skills, Resume, Portfolio, Team, Facts), a blog with categories and tags, and custom domain mapping. • You are responsible for the accuracy of all information displayed on your public profile • Blog posts, reviews, and portfolio items must comply with the Content Responsibilities outlined in Section 10 • Custom domain mapping requires an active paid subscription. You must own the domain and have access to its DNS settings. Signmitra is not responsible for DNS propagation delays or domain registrar issues. • PWA (Progressive Web App) configuration allows your profile to be installable on mobile devices. You are responsible for providing appropriate app icons and metadata. • Profile layouts, banners, and features can be toggled on or off using Manage Features. Disabled sections are not visible to the public. • Appointment booking functionality, if enabled, is a convenience feature. Signmitra is not liable for missed appointments or scheduling conflicts.

17. Intellectual Property

All Signmitra software, code, designs, logos, trademarks, documentation, editor tools, widgets, player applications, and platform content are the exclusive intellectual property of Graphonix Infotech Pvt. Ltd. and are protected under applicable copyright, trademark, and intellectual property laws. Users are granted a limited, non-exclusive, non-transferable, revocable license to use the platform and Player application solely for their legitimate business signage purposes during their active subscription period. You may not: • Copy, modify, reverse-engineer, decompile, or create derivative works of the platform or Player software • Remove or alter any proprietary notices, labels, or trademarks • Resell, sublicense, or redistribute access to the platform without a valid Reseller partnership agreement • Use automated bots or scripts to access the Services

18. Device & Connectivity Requirements

The Signmitra platform requires compatible hardware and reliable internet connectivity. You acknowledge that: • Player devices must meet minimum system requirements (Android 5.0+, 100MB free storage, stable internet) • Content download speed and sync performance depend on your internet bandwidth and device capabilities • Signmitra is not responsible for service disruptions caused by internet outages, power failures, device malfunctions, hardware incompatibility, or third-party software conflicts • It is the User's responsibility to configure device settings including auto-start, screen orientation, sleep mode, and HDMI input • Ethernet connections are recommended over Wi-Fi for mission-critical displays

19. Service Availability & Uptime

We strive to maintain high availability of the Signmitra platform and support infrastructure. However: • We do not guarantee 100% uptime. Planned maintenance, server updates, and infrastructure improvements may cause temporary interruptions. • We will make reasonable efforts to schedule maintenance during low-usage hours and notify users in advance where possible. • Emergency maintenance may occur without prior notice to protect platform integrity and security. • Signmitra is not liable for any business losses, revenue impact, or damages caused by temporary service unavailability.

20. Subscription Expiry & Data Retention

When your subscription expires: • Screens go offline — the Player stops syncing new content • Dashboard access becomes restricted • New uploads and content creation are disabled • A grace period applies during which all your data (slides, playlists, media, profile, settings) is fully preserved • If you renew within the grace period, all services resume immediately with no data loss • If you do not renew within the grace period, Signmitra reserves the right to permanently delete your content, media, and account data • Additional purchased storage follows its own expiry date; if not renewed, files exceeding your base storage quota may be flagged or removed We strongly recommend downloading or backing up important content before your subscription expires.

21. Account Deactivation & Termination

Users may deactivate their account at any time from the sidebar. Deactivation temporarily hides your public profile and pauses screen activity but does NOT delete your data. You can reactivate your account by logging in and clicking Activate. Signmitra may suspend or terminate your account if: • You violate these Terms or any applicable law • Payments are overdue beyond the grace period • Your account is used for fraudulent, abusive, or illegal purposes • Automated or bot access is detected Upon termination by Signmitra, you will be notified via email. You may request a copy of your Content within 30 days of termination, after which it may be permanently deleted.

22. Third-Party Services & Integrations

Signmitra integrates with the following third-party services to provide its functionality: • Payment Gateways: Razorpay, Stripe, PayPal, Flutterwave, Paytm, MercadoPago • Communication: MSG91 (SMS, OTP, WhatsApp notifications), SendGrid and PHPMailer (email) • Distribution: Google Play Store (Signmitra Player app) • Analytics: Google Calendar integration for scheduling features Each third-party service is governed by its own terms of service and privacy policy. Signmitra is not responsible for the performance, availability, security, or policies of these third-party services. Users are encouraged to review the terms and privacy policies of these providers independently.

23. Limitation of Liability

To the maximum extent permitted by applicable Indian law: • Signmitra provides the Services on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory • We do not warrant that the Services will be uninterrupted, error-free, or completely secure • Signmitra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of business, revenue, profits, data, goodwill, or any other intangible losses • Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to Signmitra in the twelve (12) months immediately preceding the claim • We are not liable for content displayed on screens due to user error, misconfigured schedules, or incorrect playlist assignments

24. Indemnification

You agree to indemnify, defend, and hold harmless Graphonix Infotech Pvt. Ltd., its directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from: • Your use of the Services or violation of these Terms • Content you upload, display, or distribute through the platform • Infringement of any third-party intellectual property, privacy, or other rights • Any activity under your account, including actions by Team Members • Your violation of any applicable law or regulation

25. Acceptable Use Policy

When using Signmitra, you agree not to: • Use the platform to display illegal, harmful, misleading, or fraudulent content • Attempt to gain unauthorized access to other users' accounts, data, or systems • Interfere with or disrupt the platform, servers, or connected networks • Use automated scripts, bots, or crawlers to access the Services • Overload the platform with excessive API calls, requests, or uploads beyond reasonable usage • Circumvent any usage limits, security features, or access controls • Use the platform for bulk spam, phishing, or social engineering attacks • Resell or redistribute access to the platform without authorization Violation of this policy may result in immediate account suspension or termination without prior notice.

26. Modifications to Terms

Signmitra reserves the right to update, modify, or replace these Terms & Conditions at any time. We will make reasonable efforts to notify users of significant changes via email or dashboard notification. The "Last Updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the platform after the publication of updated Terms constitutes your acceptance of those changes. If you disagree with any modifications, you must stop using the Services and close your account.

27. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Meerut, Uttar Pradesh, India. Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days. If unresolved, either party may pursue legal remedies in the competent courts.

28. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

29. Entire Agreement

These Terms & Conditions, together with the Privacy Policy and any plan-specific terms presented at checkout, constitute the entire agreement between you and Graphonix Infotech Pvt. Ltd. regarding the use of Signmitra. These Terms supersede all prior or contemporaneous oral or written agreements, proposals, and representations.
